Subscription Terms

  • Billing: Subscriptions are billed on a recurring basis (monthly or annually) as specified in your subscription plan. All fees are charged in advance for the billing period.

Limitation of liability

Legislative Labs, including its officers, directors and employees shall not be held liable for any indirect, consequential, special, punitive, or incidental damages arising out of or in any way related to your use of this Website, including but not limited to lost profits, lost data, business interruption, or damages resulting from inaccurate predictions or analytics. In all cases, our liability is limited to the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100). This limitation applies regardless of the legal theory on which the claim is based, including but not limited to contract, tort, negligence, strict liability, or otherwise. You waive any claim for consequential, exemplary, special or incidental damages.

Severability

Termination
Either party may terminate your account and access to the Website at any time. You may terminate your account by contacting us or through your account settings. We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, fraudulent activity, or violation of applicable laws. Upon termination, your right to use the Website will immediately cease. Variation of Terms
Legislative Labs reserves the right to revise these Terms at any time. Assignment
The Legislative Labs is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Attorney's Fees
If either party brings any action or proceeding to enforce, protect, or establish any right or remedy under this Agreement, the prevailing party shall be entitled to recover reasonable attorney fees.

Entire Agreement
These Terms constitute the entire agreement between Legislative Labs and you in relation to your use of this Website, and supersede all prior agreements and understandings.

Dispute Resolution
Most concerns can be resolved quickly by contacting us. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Website, the parties agree to first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within 60 days, the parties agree to submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware, and the arbitrator's decision shall be final and binding. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

Governing Law & Jurisdiction
These Terms will be governed by and interpreted in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any action seeking to interpret, construe or enforce this Agreement that is not subject to arbitration shall be filed exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
